AES Andes expands its Board of Directors and increases female participation

  • The Company’s Special Shareholders’ Meeting approved the increase from seven to nine members and the incorporation of Ricardo Falú and Giselle Marie Leger as new members. 

Santiago - To bring new visions to the Board of Directors to strengthen its corporate governance, the Special Shareholders’ Meeting of AES Andes has agreed to increase the number of directors from seven to nine.

The meeting also elected Ricardo Falú, former CEO of the Company, and Giselle Marie Leger, General Counsel of AES Dominicana as new members of the board of directors. 

The other members of the Board of Directors are Bernerd Da Santos, Madelka McCalla, Gonzalo Parot, Daniel Fernández, Radovan Razmilic, Arminio Borjas and Juan Ignacio Rubiolo, current Chairman of the Board.

The Company highlighted that “this decision ratifies the recognition of the important work of the AES Andes Board of Directors with the incorporation of Ricardo Falú and his vast experience in the leadership of the company over the last years, along with a new corporate strategic vision. Furthermore, the Company continues to move forward to achieve greater female inclusion, by having now appointed two highly prestigious female directors, Madelka McCalla and Giselle Marie Leger.”

The decision is in line with the Company’s efforts to move forward on gender equity as part of its Diversity and Inclusion Policy. According to the decision, the Company has been successful in steadily increasing the number of women in the workforce and in leadership positions and has the clear objective to continue to make progress in this area over the coming years.

While thanking the shareholders for their confidence, Giselle Marie Leger said that, with her arrival at the Board of Directors, “I seek to bring my experience to strengthen the implementation of the Greentegra strategy and to promote sustainable and renewable transformation that takes into account the impacts of climate change.”

The new directors

Giselle Marie Leger holds a degree in law from the Pontificia Universidad Católica Madre y Maestra de República Dominicana and a master’s degree in Economic Legislation from the same university. Her negotiation skills have been supported by extensive training at Yale University and Harvard Business School, and she extended her training in Strategic Planning at Darden Business School in Leadership.

She currently serves as General Counsel of AES Dominicana, a company where she has worked for more than two decades. She is responsible for the management of the Company’s corporate, commercial, litigation, M&A and regulatory divisions, and for providing legal, financial and corporate support to all AES businesses across the country.

On August 8, Ricardo Falú assumed a new global role at The AES Corporation as Senior Vice President, Chief Strategy and Commercial Officer and resigned as CEO of AES Andes, where he spent over four years and led the renewable transformation process of the Company based on the Greentegra strategy. 

Prior to his role as CEO of AES Andes, Falú was the Chief Financial Officer (CFO) of AES for the Andean region and also CFO for the businesses of Mexico, Central America and the Caribbean. In addition, in his more than 18 years at AES, he held various executive positions in the areas of corporate finance, financial planning and analysis, investor relations, treasury, accounting and taxation, and has led business M&A transactions, debt restructurings and strategic and transformational projects for the Company.

Ricardo Falú holds a degree in Public Accounting and an Executive MBA from IAE Business School with honors (Summa Cum Laude). In addition, he completed postgraduate studies in Administration and Financial and Management Executive Studies at Darden, Wharton and Harvard. In 2014, he completed the Advanced Management Program at Wharton.
